Please read these terms carefully before using Company Filing Service. By creating an account or using the service you agree to be bound by these terms.
1. About us
Company Filing Service is provided by Redstone Technology Ltd, a company registered in England and Wales (Company No. to be inserted). References to "we", "us" or "our" mean Redstone Technology Ltd. References to "you" or "your" mean the individual or organisation using our service.
2. The service
We provide software that assists UK limited companies to prepare and file annual accounts and corporation tax returns (CT600) with HMRC and Companies House. The service is intended for micro-entities and small companies as defined by the Companies Act 2006.
Our service generates iXBRL-tagged accounts and CT600 XML returns and submits them electronically to the relevant government bodies on your behalf. We are a technology platform, not a regulated accountancy firm. Use of our service does not constitute professional accounting, tax or legal advice. You remain solely responsible for the accuracy of the information you provide and for ensuring your filing meets your legal obligations.
3. Eligibility
To use this service you must:
- Be aged 18 or over.
- Be a director or authorised representative of the company you are filing for.
- Be filing for a UK limited company with a straightforward financial structure within our stated scope.
- Agree to these Terms and our Privacy Policy.
4. Your account
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at [email protected] if you suspect unauthorised access.
You must provide accurate and up-to-date information when registering and when completing filings. Providing false information to HMRC or Companies House is a criminal offence.
5. Fees and payment
Our fees are as displayed on the Pricing page at the time of purchase. All prices include VAT where applicable. Payment is processed securely via Stripe. We do not store your payment card details.
Payment is due before we submit your filing. Once a submission has been made to HMRC or Companies House, fees are non-refundable except where required by law. If a submission fails due to an error on our part, we will either re-submit at no additional charge or provide a full refund at your option.
6. What we will do
We will:
- Use your provided financial data to prepare compliant iXBRL accounts and CT600 returns.
- Submit your filing electronically to HMRC and Companies House.
- Provide you with a submission receipt and confirmation.
- Notify you by email of the outcome of each submission.
- Store your filing records securely for a minimum of 7 years.
7. What you must do
You must:
- Provide complete, accurate and truthful financial data.
- Ensure your company's accounting period dates are correct.
- Ensure you have the authority to file on behalf of the company.
- Review any previews or summaries we provide before authorising submission.
- Not use the service for any unlawful purpose or to submit fraudulent filings.
8. Limitations of our service
Our service is designed for straightforward micro-entity and small company accounts. We do not currently support:
- Group accounts or consolidated accounts.
- Companies with complex capital structures (multiple share classes, complex instruments).
- VAT returns (Making Tax Digital for VAT).
- Self Assessment (individuals or partnerships).
- Dormant company accounts that require bespoke treatment.
We reserve the right to refuse to process a filing if it falls outside our stated scope.
9. Limitation of liability
To the fullest extent permitted by law, Redstone Technology Ltd shall not be liable for:
- Any penalties, fines or surcharges imposed by HMRC or Companies House arising from inaccurate information you provided.
- Filing failures caused by downtime at HMRC, Companies House or other third-party systems outside our control.
- Indirect, consequential or special losses.
Our total aggregate liability to you for any claim arising out of or relating to these terms or the service shall not exceed the total fees you paid in the 12 months preceding the claim.
Nothing in these terms limits our liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by law.
10. Intellectual property
The software, platform and content of Company Filing Service are owned by or licensed to Redstone Technology Ltd and are protected by intellectual property laws. You are granted a limited, non-exclusive licence to use the service for your own business purposes. You must not copy, reverse-engineer, decompile or create derivative works of our software.
11. Third-party integrations
If you connect a third-party accounting service (such as Xero or QuickBooks), you do so subject to that provider's terms and privacy policy. We access only the data you explicitly authorise. We are not responsible for errors or outages in third-party services.
12. Termination
Either party may terminate the service at any time. You may delete your account via the settings page. We may suspend or terminate your account immediately if you breach these terms, provide false information, or use the service for an unlawful purpose. On termination, we will retain your filing records for the legally required period and then delete them in accordance with our Privacy Policy.
13. Changes to these terms
We may update these terms from time to time. Where changes are material, we will notify you by email at least 14 days before they take effect. Continued use of the service after that date constitutes acceptance of the updated terms.
14. Governing law
These terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
